"ForgeQueue", "we", "us", or "our" refers to the ForgeQueue software platform operated by an independent provider.

1. Acceptance of Terms
By accessing or using ForgeQueue, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Platform.
We reserve the right to update or modify these Terms at any time. Continued use of the Platform constitutes acceptance of any revised Terms.
2. Description of Service
ForgeQueue provides software tools including automation, customer relationship management, scheduling, messaging, workflow management, and related digital services intended for HVAC and home-service businesses.
ForgeQueue is a software provider only and does not perform HVAC services, dispatch labor, supervise technicians, or guarantee business outcomes.
3. Eligibility
You must be 18 years old and have the authority to enter into this agreement on behalf of yourself or the business using the Platform.
4. User Responsibility & Compliance
You are solely responsible for:
* Compliance with all applicable local, state, and federal laws
* Obtaining proper consent for SMS, MMS, and email communications
* Compliance with TCPA, CAN-SPAM, carrier requirements, and opt-out rules
* Accuracy of customer information you upload
* How the Platform is used within your business
ForgeQueue does not monitor or control your communications is not responsible for misuse of the Platform.
5. SMS Consent & Messaging
By providing phone numbers through the Platform, you represent that you have obtained proper consent from recipients to receive communications.
Message and data rates may apply.
Recipients may opt out at any time by replying STOP.
Failure to comply with messaging laws or carrier rules may result in account suspension or termination.
6. Billing, Auto-Renewal & Refund Policy
ForgeQueue operates on a recurring subscription basis unless otherwise stated.
Subscription fees are billed monthly, beginning on the thirtieth (30th) day following initial platform access, unless otherwise stated. Subscription fees are separate from any setup, onboarding, or configuration fees.
Subscriptions automatically renew unless canceled with at least thirty (30) days' written notice prior to the next billing date.

All payments are non-refundable, including subscription fees, partial billing periods, and setup or onboarding fees.
By subscribing to the Platform, you expressly authorize ForgeQueue to charge the applicable subscription fees on a recurring basis until cancellation in accordance with these Terms.
7. Configuration, Setup Fees & Minimum Subscription Term
Client acknowledges and agrees that any configuration, setup, onboarding, customization, or implementation services provided by ForgeQueue constitute non-recoverable labor, intellectual property, and software configuration work.
Any setup, onboarding, or configuration fees charged are non-refundable once platform access has been provisioned or services have commenced.
Client further agrees to a minimum initial subscription term of ninety (90) days, beginning on the date platform access is first delivered. During this initial term, the subscription may not be canceled for a refund. After the initial ninety (90) day period, the subscription shall continue on a month-to-month basis unless canceled with at least thirty (30) days' written notice prior to the next billing date.
Upon cancellation or termination for any reason, Client shall not be entitled to any refund of fees paid and shall have no right to export, transfer, duplicate, or retain any proprietary automations, campaigns, workflows, funnels, templates, configurations, or system designs provided through the Platform.
8. Account Suspension & Termination
We reserve the right to suspend or terminate access to the Platform for:
* Violation of the Terms
* Non-payment
* Messaging abuse or unlawful activity
* Attempted duplication, resale, or misuse of the Platform
9. Intellectual Property
All platform content, workflows, automations, templates, branding, documentation, and system designs are the property of ForgeQueue.
You may not copy, resell, distribute, reverse-engineer, or create derivative works without prior written permission.
10. Limitation of Liability
The Platform is provided "as is" without warranties of any kind.
ForgeQueue is not liable for:
* Lost revenue or profits
* Missed appointments
* Messaging failures
* Downtime or service interruptions
* Compliance violations by users
* Customer disputes or third-party actions
To the maximum extent permitted by law, our total liability shall not exceed the amount paid to ForgeQueue in the thirty (30) days preceding the claim.
11. Dispute Resolution
Any disputes arising from use of the Platform shall be resolved through binding arbitration, where permitted by law.
This provision does not waive any rights protected under North Carolina law.
12. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles.
